Terms of Service
Last updated: 22 September 2026
These Terms of Service govern the design and consulting services provided by Royece, a B2B UI/UX design studio based in Narmadapuram, India. By engaging Royece, you agree to these terms alongside any signed proposal, statement of work, or retainer agreement.
1. Services
Royece provides B2B UI/UX design, product design, website design, design systems, and related strategy or Framer development services. The specific deliverables, timelines, and responsibilities for each engagement are described in the applicable proposal or statement of work.
2. Project Scope
Work is limited to the approved scope. Requests that materially change the agreed deliverables, timeline, or level of effort may require a written change order and additional fees. Royece is not responsible for delays caused by missing feedback, content, access, approvals, or dependencies outside our control.
3. Payments
Project fees and retainer fees are set out in the applicable proposal or agreement. Payments may be made by bank transfer or Stripe. Project work commonly requires an advance payment before work begins; retainers are billed in advance on the agreed billing cycle. Royece may pause work when an invoice is overdue.
4. Revisions
Each project includes the revision rounds stated in the proposal. Feedback should be consolidated and provided promptly. Additional revisions, new concepts, or work outside the approved scope may be quoted separately.
5. Intellectual Property
Upon receipt of full payment for the applicable project, Royece transfers to the client the rights in the final, approved deliverables created specifically for that project. Royece retains ownership of pre-existing materials, methods, templates, tools, and general know-how. Third-party assets remain subject to their respective licences.
6. Confidentiality & White-label Work
Royece will keep non-public client information confidential and use it only to provide the agreed services. For white-label engagements, Royece will not identify the end client or publicly share the work without written permission.
7. Limited Liability
To the fullest extent permitted by law, Royece’s total liability arising from an engagement is limited to the fees paid by the client for the services giving rise to the claim. Royece is not liable for indirect, incidental, special, consequential, or lost-profit damages.
8. Governing Law
These terms are governed by the laws of India. Courts in Narmadapuram, Madhya Pradesh, have exclusive jurisdiction over any dispute arising from these terms or the services.
